Welcome to Dataliction, LLC (“Dataliction,” “we,” “us,” or “our”). These Terms & Conditions and related policies (collectively, this “Agreement”) govern your use of:

Our AI, data analytics, dashboards, automations, tools, or software (“Digital Services” and “AI Tools”)

Any consulting, advisory, training, assessments, or implementation work we perform (“Professional Services”)

Our SMS messaging programs (defined below under SMS TERMS (US 10DLC))
By accessing or using our Site or any Services, you (“you,” “your,” “user,” or “customer”) agree to this entire Agreement. If you do not agree, you must discontinue use immediately.

If you enter into a separate written agreement (e.g., Master Services Agreement, Statement of Work, or Data Processing Addendum) with Dataliction, that agreement governs in the event of any conflict.
1. ACCEPTANCE OF TERMS
You accept this Agreement by any of the following:

Accessing or using our Site or Services

Requesting a consultation or discovery call

Registering for a workshop, event, or newsletter
-
Engaging Dataliction through a proposal, SOW, or contract
-
Integrating your systems with any Dataliction tool or platform
-
Enrolling in any Dataliction SMS program
If you do not agree to these Terms, you must not use the Site or Services.
2. DESCRIPTION OF SERVICES
Dataliction provides analytics, AI, strategy, and automation services, including but not limited to:

Analytics dashboards and insights
-
AI-powered workflows and voicebots
-
Sales, marketing, and operations assessments
-
Organizational AI readiness evaluations
-
Strategic advisory, consulting, and workshops
-
Integrations with CRMs, ERPs, marketing tools, or databases
-
Data automation, reporting, and visualization
-
Implementation of AI agents, LLM-powered tools, and automation systems
-
Training and enablement for teams
-
SMS notifications and alerts related to Dataliction’s own programs and services
Services may evolve over time, and Dataliction may modify the nature or functionality of the Site or Services at its discretion.
3. ELIGIBILITY & BUSINESS USE
The Site and Services are intended only for business and professional use. By using the Site or Services, you represent and warrant that:

You are at least 18 years old.

You are accessing the Services on behalf of a business or professional endeavor.

You have the authority to bind your organization to this Agreement (if applicable).
4. USER RESPONSIBILITIES
You agree that you will:

Provide accurate, complete, and lawful information when interacting with Dataliction.

Not misuse or attempt to breach the security of the Site, AI Tools, data, or any other Services.
-
Not upload unlawful, confidential, or proprietary information without the rights or legal basis to do so.

Not reverse engineer, decompile, or attempt to extract source code or system prompts from any Dataliction tools, agents, or models.

Use the Services only for lawful purposes and in compliance with all applicable laws and regulations (including CTIA, carrier rules, and US 10DLC requirements where SMS is involved).
You are responsible for:

Maintaining the confidentiality and security of your account credentials and access tokens

Ensuring any data you provide is correct, authorized, and compliant
-
Ensuring your use of AI and automations complies with your industry’s regulatory requirements
5. CUSTOMER DATA & BUSINESS DATA
Dataliction may receive, store, and process:

Business data you provide (CRM exports, lists, metrics, internal documentation, spreadsheets, dashboards, etc.)
-
Communications, meetings, and content exchanged with your team
-
Data integrated through tools you authorize (e.g., HubSpot, Airtable, VAPI/Twilio, analytics platforms)
-
Engagement-related artifacts (e.g., user journeys, process maps, AI prompts/workflows, and reports)
Ownership
You retain ownership of all Customer Data that you provide to Dataliction.
License to Use
You grant Dataliction a non-exclusive, worldwide license to use Customer Data solely for:

Providing Services
-
Improving tools and performance related to your engagement
-
Troubleshooting, analytics, and optimization
-
Creating insights, reports, and recommendations for you and your organization
We do not use your Customer Data to train public models or unrelated third-party services unless explicitly authorized in writing.
6. AI, AUTOMATION, AND DIGITAL TOOL USAGE
When you use any Dataliction-built or Dataliction-hosted systems (dashboards, voice bots, agents, workflows, or other Digital Services and AI Tools), you acknowledge that:

AI outputs may contain errors, hallucinations, or omissions.

AI may misinterpret prompts, tone, and context.
-
AI systems may rely on external models and APIs whose responses and behaviors are outside Dataliction’s direct control.

You must independently validate outputs before relying on them.
You agree:

Not to use AI Tools for unlawful, discriminatory, harmful, deceptive, or misleading activities.
-
Not to rely on AI outputs as the sole basis for legal, financial, HR, medical, or compliance decisions.
-
That AI systems may log interactions (prompts, responses, timestamps, metadata) for quality, troubleshooting, security, and improvement.
Dataliction is not responsible for business decisions made based on AI-generated insights or automations.
7. INTELLECTUAL PROPERTY
7.1 Dataliction IP
All materials created by Dataliction—including but not limited to:

Dashboards and visualizations
-
Frameworks, processes, methodology, and playbooks
-
Assessments, worksheets, workshop content
-
Analytics models, prompts, configuration logic
-
Automation scripts, AI workflows, and voicebot structures
-
Website content, branding, logos, and trademarks
(collectively, “Dataliction IP”) are the exclusive property of Dataliction.
You may not:

Copy, reproduce, or distribute Dataliction IP
-
Resell, white-label, or sublicense Dataliction IP
-
Reverse-engineer workflows or prompts to build competing services
-
Remove or alter ownership or attribution notices
unless expressly permitted in writing by Dataliction.
7.2 Customer IP
You retain ownership of your company’s data, brand assets, and proprietary materials you provide. Dataliction uses them only as permitted under this Agreement or your specific contract.
8. PAYMENT TERMS
If you engage Dataliction for Professional Services, payments are governed by your proposal, SOW, invoice, or written agreement.
Unless otherwise stated:

Payments are due within 15 days of the invoice date.

Late payments may incur interest at 1.5% per month, or the maximum allowed by law, whichever is lower.

All fees paid are non-refundable, unless explicitly stated otherwise.
-
If you cancel or pause a project, previously paid fees are retained by Dataliction.
Dataliction may suspend or terminate Services if payment is past due.
9. THIRD-PARTY SERVICES & INTEGRATIONS
Dataliction may use or integrate with third-party platforms, including but not limited to:

HubSpot
-
Airtable
-
Twilio / VAPI
-
Google Analytics
-
OpenAI, Anthropic, or other LLM providers
-
Data warehouses or cloud providers (AWS, GCP, Azure)
-
Other SaaS tools necessary to deliver Services
These third-party services:

Operate independently of Dataliction
-
Have their own terms and privacy policies
-
May change features, pricing, or availability without notice
You agree that Dataliction is not liable for disruptions, data loss, errors, or damages arising from third-party platforms.

10. CONFIDENTIALITY
Both you and Dataliction agree to maintain the confidentiality of:

Business data

Internal documentation and processes
-
Financial information
-
Strategies, forecasts, systems, or code
-
Any non-public information shared during the engagement
You agree not to disclose Dataliction’s confidential information to third parties without written consent, and we agree to treat your confidential information with reasonable care.
Confidentiality obligations survive termination of the relationship.
11. DISCLAIMER OF WARRANTIES
The Site and all Services (including AI Tools and SMS programs) are provided “as is” and “as available” without warranties of any kind, whether express or implied.
Dataliction makes no warranties that:

AI outputs will be accurate or error-free

Services will meet your expectations or requirements
-
Dashboards or automations will be uninterrupted or free from defects
-
Third-party tools or APIs will operate reliably or continuously
-
Data from integrated platforms will always be up-to-date, synchronized, or correct
-
Insights or recommendations will result in specific financial, operational, or strategic gains
You use the Site and Services at your own risk.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law:

Dataliction is not liable for any indirect, incidental, consequential, exemplary, special, punitive, or lost-profit damages arising from or related to the Site or Services.

Dataliction’s maximum total liability for all claims related to the Site, Services, or AI Tools during any three-month period is limited to the total amount you paid to Dataliction in that three-month period.
Dataliction is not liable for decisions made based on analytics, AI outputs, recommendations, or SMS messages.
These limitations apply even if Dataliction has been advised of the possibility of such damages.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Dataliction, its employees, officers, contractors, and partners from and against all claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:

Your use of the Site or Services

Your violation of this Agreement

Data, content, or information you submit or integrate
-
Misuse of AI Tools, automations, or SMS programs
-
Your breach of confidentiality or intellectual property rights
14. TERMINATION
Dataliction may suspend or terminate:

Your access to the Site

Your use of AI Tools or SMS programs

Your user account
-
Any engagement or Service
at any time if:

You violate this Agreement
-
Payment is overdue
-
You misuse tools, data, AI outputs, integrations, or SMS programs
-
Fraudulent, harmful, or unauthorized activity is detected
You may terminate your use of the Site at any time by discontinuing use. Contracted Services are governed by your specific agreements.
15. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement is governed by the laws of the State of Indiana, without regard to conflict-of-law rules.
Any dispute arising out of or relating to this Agreement or the Services will be resolved by:

Good-faith negotiation between the parties, and if not resolved, then
-
Binding arbitration in Indianapolis, Indiana, under applicable arbitration rules.
You agree that:

You will not bring any claim as part of a class, collective, or representative action.

Each party may bring claims only in its individual capacity.
16. CHANGES TO THIS AGREEMENT
We may update this Agreement from time to time. When we do:

We will update the “Last Updated” date at the top.

Your continued use of the Site or Services after changes are posted constitutes your acceptance of the updated Agreement.

PART B – TERMS OF SERVICE FOR AI TOOLS, AGENTS & AUTOMATIONS
These AI Terms apply in addition to the General Terms above.
18. SCOPE OF AI TOOLS
AI Tools include, but are not limited to:

LLM-powered chat assistants and internal copilots
-
AI voicebots using Twilio/VAPI or similar services
-
Analytics and predictive dashboards
-
Automated workflows or decision-support systems
-
Classification, summarization, or recommendation systems
-
Data cleansing, enrichment, or transformation automations
-
Embedded AI features inside your CRM, marketing stack, or operations stack
AI Tools may rely on third-party large language models (“LLMs”), APIs, or cloud systems.
19. ACCEPTABLE USE OF AI TOOLS
You agree to:

Use AI Tools only for lawful, ethical business purposes.
-
Not submit unlawful, discriminatory, harmful, or highly sensitive data unless explicitly agreed and lawful.
-
Not use AI Tools to generate or spread misinformation, manipulate individuals, impersonate others, or conduct fraud.
-
Not attempt to bypass content protections, guardrails, or modify system prompts, flows, or automated logic without authorization.
-
Not use AI outputs as the sole basis for critical legal, financial, HR, medical, or regulatory decisions.
Dataliction may restrict, suspend, or terminate access to AI Tools for violations of these terms.
20. ACCURACY & RELIABILITY OF AI OUTPUTS
AI Tools generate outputs using probabilistic methods and may:

Produce inaccurate, incomplete, or outdated information
-
Misinterpret ambiguous instructions or context
-
Reflect biases present in training data or source systems
You are solely responsible for reviewing and validating AI outputs before using them in your business.
Dataliction does not guarantee that AI Tools will:

Be error-free, fully accurate, or complete
-
Operate without delays, downtime, or throttling
-
Integrate perfectly with all third-party systems at all times
21. LOGGING & DATA PROCESSING FOR AI TOOLS
When you interact with AI Tools, Dataliction may collect and process:

Prompts, queries, messages, or inputs
-
Audio from voicebots (as permitted by law and disclosed where required)
-
Output logs generated by AI Tools
-
Technical metadata (timestamps, IP addresses, integration IDs, workflow triggers, etc.)
We use these logs for:
-
Improving accuracy and performance
-
Troubleshooting and support
-
Monitoring for abuse, misuse, and compliance
-
Security and fraud prevention
-
Internal analytics and service improvement
We do not use your individual business data to train public or open models.
22. THIRD-PARTY AI PROVIDERS
AI Tools may run on or through third-party LLMs or APIs, including but not limited to:

OpenAI

Anthropic
-
Google Vertex AI
-
Microsoft Azure OpenAI
-
Twilio / VAPI
-
Other third-party AI or automation services
By using AI Tools, you understand and agree that:

Your inputs and outputs may be processed by such providers under their own terms and privacy practices.

Outages, rate limits, model changes, or other issues from these providers are not under Dataliction’s control.
-
Such issues may impact performance, latency, or availability of AI Tools.
23. AI-RELATED INTELLECTUAL PROPERTY
Unless expressly agreed otherwise in writing:

AI prompts, workflows, automations, conversation flows, and architectures developed by Dataliction are part of Dataliction IP.

You may use such AI Tools only for your internal business purposes, as permitted by your agreement.

You may not copy, resell, white-label, or export Dataliction’s AI logic to build competing products or services.
Business data and content you provide remain your property.
24. RISKS & LIMITATIONS FOR AI TOOLS
You acknowledge the inherent risks of AI systems, including:

Potential for biased, harmful, or inappropriate outputs
-
Potential misalignment with human intent or context
-
Dependency on external APIs and infrastructure
-
Risk of automation misfires due to configuration or data issues
You assume all risks associated with your use of AI Tools, subject to the limitations of liability set out in this Agreement.
25. ADDITIONAL LIABILITY LIMITATIONS FOR AI TOOLS
In addition to Section 12 above, Dataliction is not responsible for:

Business losses caused by reliance on AI outputs

Actions taken by your employees based on AI recommendations
-
Misconfigurations or incorrect usage in platforms or systems you control
-
Downstream errors originating from third-party APIs or models
-
Misuse of AI systems by your staff, contractors, or third parties with access granted by you
Dataliction’s total liability for claims relating specifically to AI Tools is governed by the overall limitation of liability in Section 12.
26. TERMINATION OF AI TOOL ACCESS
Dataliction may suspend or terminate your access to AI Tools immediately if:

Misuse, fraud, or illegal activity is detected

Data privacy or compliance risks are identified
-
Payment obligations are not met
-
System abuse, exploitation, or attempts to circumvent safeguards are observed

PART C – SMS TERMS
These SMS Terms apply to all SMS messages sent by Dataliction as the brand/sender (not as a reseller for other brands). They apply in addition to the General Terms & Conditions and our Privacy Policy.
27. BRAND & PROGRAM DESCRIPTION
Brand Names
For SMS purposes, the following names may be used in messages and represent the same sender:

Dataliction may send text messages to opted-in subscribers for the following purposes (“Programs”):

Periodic tips, AI/analytics insights, new content announcements, and invitations to events or webinars relevant to analytics, AI, and business performance.

We do not use SMS for SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco) or any prohibited content under CTIA/carrier rules.
28. MESSAGE FREQUENCY
Message frequency will vary by Program and user activity.
Unless otherwise stated in the specific opt-in flow:

For certain one-time flows (e.g., a one-time confirmation or login/verification), frequency may be:

30. OPT-IN MECHANISMS & CONSENT
You must provide prior express consent before receiving Dataliction SMS messages. Consent may be obtained through:

A Text-to-Join (SMS opt-in) keyword flow

A live conversation where our team reads a script including disclosures and you verbally agree

You must not enroll a third party’s mobile number without their permission.
31. OPT-OUT INSTRUCTIONS
You can opt out of receiving SMS messages from Dataliction at any time.

To opt-out, text STOP to any Dataliction message.

We may also honor additional reasonable opt-out keywords such as CANCEL, QUIT, END, or UNSUBSCRIBE, if configured.
After you text STOP, you will receive a final confirmation message:
“Dataliction: You have successfully unsubscribed and will no longer receive additional messages. Message and data rates may apply.”
Once unsubscribed, you will not receive further messages from that Program, except as required by law or as needed to process your request.
32. HELP INSTRUCTIONS
If you need assistance with Dataliction SMS Programs:

Text HELP in response to any Dataliction message.
You will receive a help response that includes:

Brand name (Dataliction)

Support contact information (e.g., email or URL)

Optional reminder of opt-out instructions

33. SUPPORTED KEYWORDS
Dataliction SMS Programs support at minimum:

STOP – to cancel SMS from that Program

HELP – to get information on how to contact support
We may also support variations such as START, JOIN, REJOIN, etc., when Text-to-Join or re-enrollment flows are offered. Any additional supported keywords will be shown in the specific Program’s messaging or CTA.
34. MOBILE PRIVACY & DATA USE (SMS-SPECIFIC)
Mobile numbers and SMS opt-in data are handled in accordance with our Privacy Policy and US 10DLC requirements.
In particular:

We will not sell or share your mobile number or SMS opt-in consent data with third parties for their own marketing or promotional purposes.

We may share limited data with our SMS providers (e.g., Vonage, carriers) solely to deliver and manage the messaging Programs.
Our Privacy Policy includes language substantially similar to:
“No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.”

35. CARRIER & CTIA DISCLOSURES
Carriers and CTIA require certain additional disclosures:

Carriers are not liable for delayed or undelivered messages.

Dataliction is responsible for the content and compliance of its SMS Programs.

We follow CTIA guidelines and carrier policies to minimize spam, fraud, and abuse.
We reserve the right to suspend or terminate messaging to any number we believe is associated with abuse, fraud, or non-compliance.
36. PROHIBITED SMS CONTENT
The following content categories are prohibited in Dataliction SMS Programs:

Sexually explicit or pornographic content

Hate, harassment, or violent content

Promotion of illegal drugs or substances

Firearms-related sales where prohibited

Tobacco, vaping, or other age-restricted product promotions

Any illegitimate, deceptive, or fraudulent activity

Any content prohibited by CTIA, carriers, or applicable law
We may terminate or block messaging to or from numbers associated with such content.
